Welcome to CodeWint Technologies. These Terms & Conditions ("Terms") govern your access to and use of our website, software products, mobile applications, web applications, APIs, blockchain solutions, MLM software, white-label platforms, fintech systems, recharge software, EMI lock systems, and all related services (collectively referred to as “Services”).

By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1. About CodeWint Technologies

CodeWint Technologies is a software development company providing customized and white-label software solutions including but not limited to:

• White Label Mobile Recharge Software
• EMI Lock & Device Management Systems
• Fintech & Payment Solutions
• Blockchain & Crypto Development
• NFT Development
• eCommerce Platforms
• Custom Web & Mobile App Development
• API Integration Services

All services are provided subject to these Terms.

2. Eligibility

By using our Services, you confirm that:

• You are at least 18 years old.
• You are legally capable of entering into a binding contract.
• You are not prohibited by any applicable law from using our Services.

3. Acceptance of Terms

By accessing our website, purchasing our software, signing a proposal, making payment, or using our platform, you automatically accept these Terms.

We reserve the right to modify these Terms at any time. Updated versions will be posted on this page with a revised effective date.

4. Scope of Services

CodeWint Technologies provides development, deployment, customization, hosting assistance, and maintenance services based on the agreed proposal or contract.

Each project scope will be defined in writing through:

• Quotation
• Proposal Document
• Invoice
• Email Confirmation
• Service Agreement

Any features not mentioned in the proposal will be treated as additional work and charged separately.

5. Payments & Billing

5.1 Payment Terms

• All payments must be made as per agreed milestone schedule.
• Advance payments are non-refundable.
• Development begins only after receipt of initial payment.

5.2 Late Payments

Late payments may result in:

• Project delay
• Service suspension
• System access restriction
• Additional late fees

5.3 Taxes

All prices are exclusive of applicable GST or other taxes unless specified.

6. Refund Policy

Due to the nature of digital services:

• No refund will be issued once development has started.
• Custom software payments are non-refundable.
• Subscription-based services may be canceled but not refunded.

Refund exceptions are subject to company approval only.

7. Intellectual Property Rights

7.1 Company Ownership

All source code, frameworks, proprietary systems, APIs, and backend structures developed by CodeWint Technologies remain our intellectual property unless otherwise agreed in writing.

7.2 Client License

Clients receive a license to use the software as per agreed terms. Reselling, redistributing, or reverse engineering without permission is prohibited.

7.3 Third-Party Components

Some software may include third-party libraries subject to their respective licenses.

8. White Label Software Terms

White-label clients may use our software under their brand name, but:

• Core system ownership remains with CodeWint Technologies.
• Unauthorized modification of core code is prohibited.
• Source code access requires separate agreement.

9. MLM & Financial Software Disclaimer

We only provide software technology. We are not responsible for:

• Business model legality
• Commission disputes
• Financial losses
• Government compliance issues

Clients must ensure their business complies with local laws.

10. EMI Lock & Device Management Systems

For EMI Lock or Device Control Systems:

• Client is fully responsible for legal compliance.
• Proper customer consent must be obtained.
• We are not liable for misuse or unlawful locking of devices.

11. Blockchain & Crypto Development

Cryptocurrency and blockchain technologies involve high risk. CodeWint Technologies:

• Does not guarantee token value or market performance.
• Is not responsible for regulatory compliance.
• Is not liable for financial losses.

12. User Responsibilities

You agree not to:

• Use services for illegal activities
• Attempt hacking or reverse engineering
• Upload malicious content
• Violate intellectual property laws

13. Confidentiality

Both parties agree to maintain confidentiality of sensitive business and technical information shared during the project.

14. Data Protection

We implement reasonable security measures. However, we are not liable for:

• Server hacks
• Data breaches caused by third-party hosting
• Client-side security negligence

15. Maintenance & Support

Support is provided only if included in the agreement. Maintenance may include:

• Bug fixing
• Minor updates
• Server assistance

Major upgrades will be charged separately.

16. Hosting & Server Responsibility

If client uses third-party hosting:

• Server downtime is not our responsibility.
• Client must maintain server payments.

17. Limitation of Liability

CodeWint Technologies shall not be liable for:

• Indirect damages
• Loss of profit
• Business interruption
• Data loss

Total liability shall not exceed the amount paid for the specific service.

18. Termination

We reserve the right to suspend or terminate services if:

• Terms are violated
• Payments are pending
• Illegal activities are detected

19. Force Majeure

We are not responsible for delays caused by events beyond our control including natural disasters, internet failures, government actions, or technical breakdowns.

20. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of Rajasthan courts only.

21. Amendments

We may update these Terms at any time. Continued use of Services constitutes acceptance of revised Terms.

23. Complete Agreement
